MANITOBA SECURITIES COMMISSION NOTICE 2007-43 Relief for Venture Issuers from Certain Certification Requirement: Blanket Order No. 52-501 November 23, 2007 On November 23, 2007, the Manitoba Securities Commission issued Order No. 5531 Relief for Venture Issuers from Certain Certification Requirements (the “Order”), which exempts venture issuers that file annual and interim certificates in the forms attached to the Order from filing the annual and interim certificates prescribed by paragraphs 2.1 and 3.1 of Multilateral Instrument 52-109 Certification of Disclosure in Issuers’ Annual and Interim Filings (“MI 52-109”). The annual and interim certificates in the forms attached to the Order do not contain representations relating to the design of disclosure controls and procedures and internal control over financial reporting or the evaluation of the effectiveness of disclosure controls and procedures. The form of certificate attached to the Order is accompanied by an explanation of how it differs from the certificates that reporting issuers other than investment funds are required to file pursuant to MI 52-109. The Order applies to venture issuers that are reporting issuers in Manitoba. Venture issuers that are reporting issuers in any other jurisdictions are reminded that the existing certification requirements in MI 52-109 remain in effect unless exemptive relief has also been provided in those jurisdictions. Venture issuers filing certificates in the forms attached to the Order should use the SEDAR (System for Electronic Document Analysis and Retrieval) filing category "Form 52-109F1 – Certification of Annual Filings – CEO" and "Form 52-109F1 – Certification of Annual Filings – CFO" for their annual certificates and category "Form 52-109F2 –Certification of Interim Filings – CEO" and "Form 52-109F2 –Certification of Interim Filings – CFO" for their interim filings.
