ENFORCEMENT SUMMARY


In the Matter of The Securities Act
and in the Matter of Kimberly B. Krehbiel ("KREHBIEL")

Charges:

On December 16, 2005, Judge Sandhu of the Provincial Court of Manitoba accepted guilty pleas of KREHBIEL to four (4) counts of offences under s.136(1)(c) of The Securities Act of Manitoba ("Act"), being 2 counts of trading without registration contrary to s.6(1) and 2 counts of trading without prospectus contrary to s.37(1).

Summary:

KREHBIEL, a resident of British Columbia, was the president of TRAXX INTERNATIONAL INC., a company incorporated in the State of Nevada, U.S.A. In or about June of 1990, KREHBIEL gave a presentation at a local business establishment in the Town of Carman, Manitoba. Mr. and Mrs. Gerbrandt were in attendance at the presentation. During the presentation, KREHBIEL explained how the company’s product worked, showed a video on the performance of the TRAXX tires, and described the investment opportunity. The Gerbrandts paid for shares in TRAXX, totaling an investment of $15,000, and received Subscription Agreements. None of the monies invested were returned. KREHBIEL was not registered to trade in securities in Manitoba. No prospectus, or preliminary prospectus, had been filed with The Manitoba Securities Commission, nor had any exemption been applied for or granted.

Sentence:

KREHBIEL was sentenced on December 16, 2005. Judge Sandhu accepted the joint recommendation as to fine and ordered a fine in the total amount of $3,000.00 ($750 per count). Costs and surcharges were waived. KREHBIEL a recently discharged bankrupt was given time to pay to June 16, 2006.
