STATEMENT OF ALLEGATIONS OF STAFF OF THE
MANITOBA SECURITIES COMMISSION

STAFF OF THE MANITOBA SECURITIES COMMISSION ALLEGE, AMONG OTHER THINGS,

A. STATEMENT OF FACTS

1. Charles Morrison ("Morrison") is not now and never has been registered to trade in securities under The Securities Act of Manitoba ("Act").

2. On December 6, 2001, charges were laid against Morrison in the Provincial Court of Manitoba ("court") for offences contrary to section 136(1)(c) of the Act.

3. There are charges for offences contrary to section 136(1)(c) of the Act currently pending in court.

4. Morrison has agreed to consent to an order of the Commission providing for a permanent denial of all exemptions pursuant subsection 19(5) of the Act.

B. ALLEGATIONS

1. Staff of the Commission allege that it is in the public interest that Morrison not be entitled to use any of the exemptions set out in the Act and not be entitled to participate in the exempt markets in Manitoba in the future and that an order for a permanent denial of exemptions as against Morrison be issued pursuant to subsection 19(5) of the Act.

2. Such further and other matters as counsel may advise and the Commission may permit.
