MAXINE COOKE

WHEREAS:

(A) The Alberta Securities Commission (“ASC”) entered into a settlement with Maxine Cooke (“COOKE”) effective September 9th, 2008 (“Settlement”);

(B) In the Settlement, COOKE consented to solely for securities regulatory purposes in Alberta and elsewhere agreeing to the facts and consequences set out in the Settlement;

(C) The Manitoba Securities Commission (“Commission”) issued a Notice of Hearing (“Notice”) on October 10, 2008, thereafter amended on December 4, 2008 (“Amended Notice of Hearing”), giving notice of its intention to hold a hearing to consider whether or not it was in the public interest to grant orders pursuant to The Securities Act, R.S.M. 1988, c. S50 as amended (“Act”) with respect to COOKE;

(D) On December 10, 2008, this matter was heard by a panel of the Commission;

(E) Upon reviewing the documentary evidence and hearing the submissions of counsel for staff of the Commission, no one appearing for the respondent, and upon reviewing the Affidavits of Service, filed, and being satisfied as to service upon the respondent, the Commission is of the opinion that it is in the public interest to make this order.

IT IS ORDERED:

1. THAT, pursuant to sections 148 and 19(5) of the Act, COOKE cease trading in securities or relying upon any exemptions under the Act until February 25, 2020, except that COOKE is not precluded from trading in securities through a registrant, who has first been given a copy of this Order, in: (a) COOKE’s own personal accounts; or (b) registered retirement savings plans, as defined in the Income Tax Act (Canada) for her benefit.

2. THAT, pursuant to section 148.3 of the Act, COOKE resign any position she may hold as a director or officer of any issuer, and is prohibited from becoming or acting as a director or officer of any issuer, or as both a director and an officer of any issuer, until February 25, 2020.
