THE MANITOBA THE SECURITIES ACT Order No. 6962 SECURITIES COMMISSION Sections 148, 19(5), and 148.3 June 26, 2014 SYSTEMATECH SOLUTIONS INC., APRIL VUONG AND HAO QUACH WHEREAS: (A) On November 14, 2013, the Ontario Securities Commission ("OSC") issued an Order ("OSC Order") against Systematech Solutions Inc. ("SYSTEMATECH"), April Vuong ("VUONG"), and Hao Quach ("QUACH"); (8) On April 3, 2014 , The Manitoba Securities Commission ("Commission") issued a Notice of Hearing ("Notice") giving notice of its intention to hold a hearing to consider whether or not it was in the public interest to grant orders pursuant to section 148.4 of The Securities Act, R.S. M. 1988, c. S50 as amended ("Act") with respect to SYSTEMATECH, VUONG, and/or QUACH ; (C) Each of the respondents has consented to the issuance of this Order and has waived the right to a full hearing ; (D) The Commission is of the opinion that it is in the public interest to make this order. IT IS ORDERED: 1. THAT, pursuant to section 148 of the Act, SYSTEMATECH and VUONG cease trading in securities until and including November 14, 2028. 2. THAT, pursuant to section 148 of the Act, QUACH cease trading in securities until and including November 14, 2023. 3. THAT, pursuant to subsection 19(5) of the Act, subsection 19(1) of the Act, with respect to such of the trades referred to in that subsection , and subsection 19(2) of the Act, with respect to such of the securities referred to in that subsection , do not apply to SYSTEMATECH and VUONG until and including November 14, 2028. 4. THAT, pursuant to subsection 19(5) of the Act, subsection 19(1) of the Act, with respect to such of the trades referred to in that subsection , and subsection 19(2) of the Act, with respect to such of the securities referred to in that subsection , do not apply to QUACH until and including November 14, 2023 . 5. THAT, pursuant to section 148.3 of the Act, VUONG and QUACH resign from any position that she and/or he holds as a director or officer of any issuer with the exception that VUONG and QUACH are permitted to continue to act as a director or officer of Vectorspace Game Studios Inc. THAT, pursuant to section 148.3 of the Act, VUONG be prohibited until and including November 14, 2028 and QUACH be prohibited until and including November 14, 2023, from becoming or acting as a director or officer of any issuer with the exception that VUONG and QUACH are permitted to continue to act as directors and officers of Vectorspace so long as VUONG and QUACH are the only holders of securities of Vectorspace and are its only officers and directors.
