PRAIRIE PASTA PRODUCERS COOPERATIVE
WHEREAS:
(A) On April 13, 2000, The Manitoba Securities Commission (the "Commission") issued Order No. 2874 (the "Exemption Order") exempting certain trades in the membership shares, promissory notes and right of Prairie Pasta Producers Cooperative to certain persons as defined in that Order from the registration and prospectus requirements of sections 6 and 37 of the Act on certain terms and conditions;
(B) On April 18, 2000, Prairie Pasta advised the Commission that it did not anticipate it would meet the minimum offering amount and to request that the exemption Order be revoked;
(C) Prairie Pasta has advised the Commission that monies that had been collected pursuant to the offering under the Exemption Order had been returned to subscribers;
(D) The Commission is of the opinion that it would not be prejudicial to the public to make the Order herein;
IT IS HEREBY ORDERED:
1. THAT, Commission Order No. 2874 dated April 13, 2000, be and is hereby revoked.
