THE SYSTEM FOR ELECTRONIC DISCLOSURE BY INSIDERS (SEDI)

WHEREAS:

(A) The System for Electronic Disclosure by Insiders (SEDI) will permit the electronic filing of insider reports with the Manitoba Securities Commission and other securities regulatory authorities;

(B) Clause 6.1(1) of MSC Rule 2001-17 (also known as National Instrument 55-102) (the "Rule") permits the director of the Manitoba Securities Commission to grant an exemption from the rule, in whole or in part;

(C) The director is of the opinion that it is necessary to change the date for implementation of the rule to allow additional time to test SEDI and to allow a longer transitional period for issuers and insiders to commence filing insider reports in the system;

(D) The director is of the opinion that it would not be prejudicial to the public interest to issue this order.

IT IS ORDERED:

1.  THAT, pursuant to Clause 6.1(1) of the Rule:

a) An issuer that is a SEDI issuer shall be exempt from clause 7.1 of the Rule until November 19, 2001 on condition that the SEDI issuer has filed an issuer profile supplement in SEDI format on or before November 19, 2001;

b) An insider of a SEDI issuer shall be exempt from clause 7.2 of the rule until December 17, 2001;

c) An issuer that is a SEDI issuer and an insider of a SEDI issuer shall be exempt from clause 8.1(2) of the Rule until December 17, 2001.
