SEDAR® SUBSCRIBER UPDATE

SEDAR Release 7.0

The Canadian Securities Administrators (the "CSA") wish to inform electronic filers that the testing of Version 7.0 of the SEDAR Filer Software is complete, and a release will be implemented on September 4, 2001. The CSA has approved amendments to the SEDAR Filer Manual: Standards, Procedures and Guidelines for Electronic Filing with the Canadian Securities Administrators (the "SEDAR Filer Manual") to reflect material changes in the SEDAR Filer software since September 1999. The SEDAR Filer Manual will be available in September on the websites of the securities regulators in British Columbia, Alberta, Ontario and Quebec and on the SEDAR web site.

The software release, along with the updated documentation in PDF format (User Guide and Installation Guide) will be distributed on CD-ROM prior to September 4, 2001. A separate CD-ROM containing the SEDAR Filer Manual will be distributed later in the fall.

PRINCIPAL CHANGES AND ENHANCEMENTS

1. Filing types deleted

The following filing types have been deleted as a result of new national instruments and local policy statements coming into effect as well as the consolidation of the market centres. New filing types have already been implemented. Filers can still create additional submissions for existing projects that were created using these filing types:

  • Annual Information Form (NPS 47)
  • Short Form Prospectus (NPS 47)
  • Short Form Prospectus – Shelf (NPS 44)
  • Simplified Prospectus and Annual Information form (NPS 36)
  • Applications (NPS 39)
  • Compliance Reports (NPS 39)
  • IPO Prospectus (BC LPS 3-02, CDNX)
  • VCP Prospectus (BC LPS 3-02, CDNX)
  • Exchange Offering Prospectus - No Summary Prospectus (BC LPS 3-02, CDNX)
  • Exchange Offering Prospectus - Summary Prospectus (BC LPS 3-02, CDNX)
  • Prospectus (BC LPS 3-02 - No Summary Prospectus)
  • Prospectus (BC LPS 3-02 - Summary Prospectus System)
  • PAS/PLAC Application (CDNX)
  • JCP Prospectus (ASC, CDNX)
  • Exchange Offering Prospectus - Qualifying Issuer (ASC, CDNX)
  • Exchange Offering Prospectus - Exchange Issuer (ASC, CDNX)
  • Shares for Debt (WSE)
  • Keystone Company Prospectus (MSC, WSE)

2. Long Form Prospectus subtype deleted

The filing subtype "Supplemented Long Form PREP Prospectus (NPS 44)" has been deleted under the Long Form Prospectus filing type for the Other Issuers category of filer.

3. Document Type Deletions

Various document types have been deleted from the filing types Long Form Prospectus for the Other Issuers category of filer and Long Form Prospectus, Simplified Prospectus and Annual Information Form (NI 81-101) located under the Mutual Fund Issuers category. For example:

Confirmation re final materials
Confirmation re prospectus amendment materials
Personal information (AB)
" Green Sheet" (ON, QC)
NPS 30 certificate - English
NPS 30 certificate - French
Compliance report - section 7.01(4) (NPS 39)
Compliance report re custodial arrangements

4. Changes to the Issuer Cover Page:

The following modifications have been made on Page 2 of the Issuer Cover Page to reflect legislative changes:

a) Filing Procedures Field "NPS 44 – PREP Procedures" and "NPS 44 – Shelf Procedures" have been made inactive for all the filing types that currently have this "Filing procedures" field.

b) Local Policy Statement Elections "B.C. Local Policy Statement No. 3-02" has been made inactive for all the filing types that currently have this "Local Policy Statement Elections" field as this B.C. Local Policy was replaced by B.C. Local Policy 41-601 on January 1, 2000.

5. Amended document types added

Various new document types have been added to the following Continuous Disclosure filing types:

  • Annual Financial Statements
  • Interim Financial Statements
  • Annual Report
  • MD & A

to facilitate the filing of amended financial statements.

6. BC Form 51-901F and Form 61 (BC)

Effective January 1, 2001, BC Form 51-901F is the required form for quarterly and year-end report filings by exchange issuers, replacing Form 61(BC). The document type Form 61 (BC) has been deleted and the document type BC Form 51-901F has been added to both annual and interim financial statement filing types.

7. Other

In addition, several document types have been added or deleted and some of them have been renamed as a result of the merger of the Alberta and Vancouver stock exchanges, and the introduction of a new Capital Pool Company program to replace the previous JCP and VCP programs.

The filing type "Shares for Debt (CDNX)" is now located in the General folder (Other Issuers/ Securities Offerings).
