Blanket Order 31-521 Temporary Exemption from Certain Financial Statement and Information Delivery Requirements for Registrants and Unregistered Capital Markets Participants

On March 23, 2020, The Manitoba Securities Commission issued Blanket Order 31-518 Temporary Exemption from Certain Financial Statement and Information Delivery Requirements for Registrants and Unregistered Capital Markets Participants in conjunction with other Canadian security regulators giving a temporary extension of time to make certain periodic filings as detailed in that order (the “Prior Relief’).

On May 28, 2020, the securities regulatory authorities in Alberta, British Columbia, New Brunswick, Newfoundland and Labrador, Northwest Territories, Nova Scotia, Nunavut, Ontario, Prince Edward Island, Saskatchewan and Yukon (the “Extending Jurisdictions”) published temporary blanket relief for registrants and unregistered capital markets participants from certain financial statement and information delivery requirements as a result of COVID-19 (the “Extended Relief”). The conditions of the relief are substantially the same as the Prior Relief, but the relief is only applicable to registrants and unregistered capital markets participants with periodic filings normally required to be made between June 2, 2020 and September 30, 2020.

Noting that no registrants for which the Commission is the principal regulator relied upon the Prior Relief, the Commission determined it would not join the Extending Jurisdictions in making an order covering the period between June 2, 2020 and September 30, 2020. Instead, we expect that any registrant for which we are principal regulator to contact us if they anticipate any difficulty meeting their periodic filing requirements.

For registrants whose principal regulator is one of the Extending Jurisdictions, and are relying on the Extended Relief, the Commission has issued Blanket Order 31-521Temporary Exemption from Certain Financial Statement and Information Delivery Requirements for Registrants and Unregistered Capital Markets Participants.  This will allow the registrant to make their required filing in Manitoba on the same date it is filed with their principal regulator.
